# Abhishek Paliwal Shares Insights on SEBI’s Proposal to Revise Executive Remuneration Disclosure Norms for Mutual Fund AMCs

Abhishek Paliwal was recently featured in Fortune India, where he shared his views on the Securities and Exchange Board of India’s (SEBI) proposal to replace individual name-wise remuneration disclosures for mutual fund executives with consolidated reporting.

The proposal, introduced through a consultation paper issued by SEBI, seeks stakeholder feedback on whether remuneration disclosures should move away from individual-level reporting towards an aggregated disclosure framework. The regulator has invited public comments on the proposal until June 30.

Commenting on the proposed changes, Abhishek highlighted the important role that individual remuneration disclosures have historically played in strengthening accountability and governance within the mutual fund industry.

According to Abhishek, such disclosures have served as a valuable mechanism enabling investors and stakeholders to assess whether compensation structures are aligned with fund performance, risk management objectives, and long-term investor interests. He noted that transparency around executive compensation has long been regarded as an important governance tool, allowing market participants to evaluate the effectiveness of incentive structures and the broader alignment of management interests with those of investors.

At the same time, Abhishek acknowledged that the proposal reflects an increasing recognition of privacy and data protection concerns surrounding the disclosure of personal remuneration details. However, he cautioned that any move toward consolidated reporting must carefully consider whether investors would continue to have adequate visibility into the compensation of key decision-makers responsible for managing investor assets.

He further observed that the central challenge for the regulator will be to strike an appropriate balance between legitimate privacy considerations and the market’s expectation of transparency. In his view, any revised disclosure framework should be designed in a manner that preserves governance standards and maintains investor confidence, ensuring that reduced disclosure requirements do not inadvertently weaken accountability mechanisms within the sector.
