### What should businesses know before signing a commercial lease agreement?

A commercial lease is a long-term financial and operational commitment, so the terms deserve careful scrutiny before signing. Unlike residential tenancies, commercial leases are heavily negotiated and the law gives parties wide freedom to agree their own terms, which means the protections you have are largely the ones written into the document itself.  

Key areas to examine include the lease term and renewal rights (the initial period, lock-in clause, renewal options, and how rent is revised on renewal); the rent structure and escalation (base rent, periodic escalation, maintenance or CAM charges, and the security deposit and its refund conditions); and permitted use, which defines what business activity you can carry on at the premises and whether you can change it later. You should also check the lock-in period and exit terms, since leaving early can trigger significant penalties, and clarify who bears responsibility for repairs, fit-outs, and structural maintenance.  

Equally important are the assignment and subletting rights (whether you can transfer the lease or share the space if your business changes), the stamp duty and registration obligations (a lease for a term beyond the threshold prescribed under the Registration Act, 1908 generally must be registered to be enforceable, and stamp duty varies by state), and the dispute resolution and termination clauses that govern what happens if things go wrong. For leases in buildings governed by RERA or specific state tenancy laws, additional compliance may apply.
