Vipin Upadhyay Highlights the Importance of Documentation for ESOP Tax Reporting

Vipin Upadhyay was recently featured in Upstox, where he shared key guidance on the documentation taxpayers should maintain while reporting income arising from Employee Stock Ownership Plans (ESOPs) in their Income Tax Returns (ITRs).
Commenting on ESOP taxation, Vipin emphasized that maintaining complete and accurate documentation is critical to avoiding disputes during tax assessments. Proper records, he noted, help substantiate the income reported and demonstrate compliance with the applicable tax provisions.

Highlighting the position for employees of unlisted companies, Vipin explained that valuation reports assume particular significance because the fair market value (FMV) of shares is determined in accordance with prescribed valuation rules rather than prevailing market prices. As a result, taxpayers should ensure that they preserve the valuation report used for determining the FMV at the time of exercising their ESOPs.
Vipin further advised taxpayers to retain all relevant documentation, including valuation reports, ESOP exercise records, and share sale documents, as these records provide essential support for the income disclosed in their income tax returns and may be required during scrutiny or assessment proceedings.
